Terms for Introductions Made or Provision of a List of Third-Party Lifestyle Provider(s) Pursuant to J.P. Morgan Family Office Lifestyle Services ("Lifestyle Services")
Please review the below terms carefully. They apply to any introduction made or list of Third-Party Lifestyle Service Provider(s) ("Providers") provided pursuant to Lifestyle Services, including for Providers currently included in Lifestyle Services or any that may be added later. Your request or use of an introduction to or list of Providers constitutes your agreement to these terms.
You agree, acknowledge and understand that:
- In providing you with introductions to third-party service provider(s) (the “Provider(s)”), J.P. Morgan Private Bank or its affiliates (collectively “J.P. Morgan”):
- Are not acting as an agent for you or for any of the Provider(s).
- Are not endorsing, advising on, recommending, providing a warranty for, or guaranteeing, the Provider(s) or the services they may offer or provide (“Services”). J.P. Morgan will not be deemed to have provided any advice, recommendations or endorsement in connection with your engagement of the Provider(s) or the Services they provide.
- Will not assume, and disclaim, any responsibility or expense in connection with your engagement of a Provider or the Services they provide. You agree to indemnify and hold J.P. Morgan harmless for any damages, costs or expenses you incur by virtue of your engagement of a Provider or the Services they provide.
- Are not obligated to perform, and you will not rely on J.P. Morgan performing, due diligence on the Provider(s) and their Services. J.P. Morgan will not review, examine, supervise, pass judgment upon, or inform you of, the quality, adequacy or suitability of the Services.
- May add or remove a Provider from the group of Provider(s) from which it provides clients an introduction and/or list. J.P. Morgan has no obligation to notify you of the addition or removal of Provider(s), including in instances where a Provider was previously introduced to you.
- Engagement of a Provider is entirely your decision and responsibility, and you accept the associated costs and risks:
- You will consult your own advisers (e.g., advisers for legal, regulatory, tax, business, investment, financial and accounting) to the extent you deem necessary.
- You will make your decisions based on your own due diligence and your own judgment, and upon any advice from your own advisers as you deem necessary, and not upon any view expressed by J.P. Morgan.
- A Provider will not be an agent, representative, sub-contractor or in any other manner an associated person of J.P. Morgan and will not in any way act on behalf of J.P. Morgan. Your relationship, rights and obligations with respect to a Provider and Services will be governed by your agreement with the Provider, not any agreement you have with J.P. Morgan.
- Your point of contact for any information or documentation regarding the Services of a Provider will be the Provider’s personnel, and not J.P. Morgan employees. You further understand that no information concerning the Services will be reflected on any statements or documents (including, without limitation, any internet website that includes client account information) provided or made available to you by J.P. Morgan.
- J.P. Morgan will not have any ongoing role or obligation to you to oversee, direct or monitor the Services provided by the Provider(s) or to assist you in any way with respect to the Provider(s).
- Providers may offer services other than those Services for which we have provided you an introduction. An introduction for one service does not constitute an introduction for other services a Provider may offer. Among other things, you should conduct your own diligence, use your own judgment and consult with your own advisors before engaging a Provider to provide these other services.
- J.P. Morgan may have existing relationships with some or all of the Providers on the list given to you. J.P. Morgan receives benefits economic or otherwise from the Provider(s) with whom it has a relationship. The receipt of benefits did not influence the decision to include the Provider(s) on the list of Provider(s) given to you, and you are not an intended third-party beneficiary of a relationship between J.P. Morgan and a Provider.
- Some Providers with whom J.P. Morgan has a relationship may provide you more favorable pricing because you are a client of J.P. Morgan. Ask the Provider(s) about pricing for J.P. Morgan clients.
- If you request that J.P. Morgan make an introduction to, or facilitate a conversation with, a Provider you consent to J.P. Morgan sharing such information about you (for example, name and contact details) as J.P. Morgan deems appropriate in connection with your request.
