What happens when a private company goes public?

From private company to public stock:

An initial public offering (IPO) marks a company’s transition from private ownership to trading on a public stock exchange. For investors who hold private shares, the process unfolds through several key stages—from the company’s initial filing and the pricing of the offering to the first day of trading and the expiration of any lock-up period.

What to expect and when:

The path to an IPO is not always linear, and the timing can change with company decisions, regulatory review and market conditions. Even after shares begin trading publicly, pre-IPO investors may be restricted from selling during a lock-up period. Understanding each milestone can help investors know what is happening, what may come next and when their shares may become eligible for sale.

How the IPO process works

How to read this: Timing is indicative — real IPO calendars and lock-up terms vary widely by deal, market conditions, and jurisdiction. The liquidity bar reflects a typical pre-IPO investor's ability to realize their position, which stays limited until the lock-up lifts and distributions are made. J.P. Morgan has extensive experience helping clients navigate the transition from private ownership to public markets. Your J.P. Morgan team can help you understand the IPO process, the restrictions that may apply to your shares and the planning considerations at each stage.
